Submitter hereby provides user generated content, which shall mean and refer to any content, media, or materials, regardless of the tangible format, medium, or form, including but not limited to electronic images, photographs, animated or motion pictures, caricatures, likenesses, vocal or other sounds, video or audio recordings, text, artwork, logos, graphics or visual effects, and to all derivative works, translations, adaptations or variations of same, as well as any accompanying correspondence, packaging, or other materials (collectively, the “Content”) to Desert Radio Group. (“Desert Radio Group”), which directly or through an affiliated entity is the owner and operator of Radio Station KDGL-FM, Palm Springs, California (“Station”), under the terms and conditions contained herein (“Release”).  Submitter acknowledges that he/she has received adequate consideration for his/her agreement hereunder, most notably the potential publicity and promotional value to Submitter from Desert Radio Group’s possible broadcast, Internet transmission, display, publication, or other use and dissemination of the Content.

1. The undersigned Submitter grants Desert Radio Group a perpetual, worldwide, irrevocable, non-exclusive, assignable, transferable, unqualified, unrestricted, unconditional, unlimited, royalty-free, license for the use and exploitation of the Content in any manner, including but not limited to the right to, publish, perform, display, scan, edit, crop, merge, resize, view, broadcast, distribute, reproduce, modify, translate create derivative works and/or duplicate of any part of the Content, to incorporate it in other works, in any form, media or technology now known or later developed, and to index, store or categorize the Content by Desert Radio Group, the Station or their affiliated entities, or their respective advertising agencies, third party suppliers or service providers, participating advertisers, sponsors and promotional partners, or the officers, directors, shareholders, employees, agents or representatives of each (collectively, the “Released Parties”) for operational, advertising and/or publicity purposes relating to Desert Radio Group or the Station or any of their affiliated entities, or for any other lawful purpose, in any media now known or hereinafter invented without any financial or other compensation.  Under no circumstances will the Released Parties be held liable or responsible to Submitter for the subject matter or content of the Content or for the authorized or unauthorized use, editing, viewing, broadcast, publication, distribution, manipulation, and/or duplication of the Content.  Desert Radio Group is acting only as a host or conduit for the submitted Content. Submitter understands and agrees that he/she has no right to approve or control the manner in which the Content may be used or displayed.

2. Submitter further understands that the use and exploitation of the Content may subject him/her to risk of notoriety, publicity, ridicule, scorn and/or indignity.

3. Submitter represents and warrants the following:

a. Submission of the Content does not violate any agreement or understanding in place with another party, including other organizations, and former or current employers, or their policies and procedures or the like that govern Submitter.
b. The Content is Submitter’s own creation and Submitter owns all rights in and to the Content, including, but not limited to, trademark, copyrights, digital rights and publicity rights.  If Submitter is not the holder of such rights, the Content either i) is in the public domain or ii) the holder of such rights has validly and irrevocably granted to Submitter, in writing, the right to grant the license set forth in this Agreement without restriction and without compensation from Desert Radio Group.  At Desert Radio Group’s request, Submitter will provide a copy of such document evidencing the assignment of rights to Submitter, unless the Content is in the public domain.
c. The Content is not indecent, illegal, pornographic, sexually explicit, harassing, threatening, tortious, abusive, hateful, embarrassing, offensive or harmful to another individual or entity and does not contain material showing aberrational behavior, graphic violence or drug abuse, and does not defame, invade the privacy of, or infringe upon or violate any rights of any kind whatsoever of any individual or entity.
d. The Content does not violate any law, rule, or regulation of any governmental entity.
e. The Content is not subject to any obligation of confidentiality.
f. Submitter has not accepted or agreed to accept, or paid or agreed to pay, any money, service or other valuable consideration for the inclusion of any matter in the Content.

4. SUBMITTER AGREES THAT HE/SHE WILL NOT MAKE ANY CLAIM OR ACTION, OR ALLOW OR AUTHORIZE ANY THIRD PARTY TO MAKE ANY CLAIM OR ACTION ON BEHALF OF THE SUBMITTER, WITH RESPECT TO THE CONTENT AGAINST THE RELEASED PARTIES.  SUBMITTER HEREBY RELEASES, DISCHARGES, HOLDS HARMLESS, AND INDEMNIFIES THE RELEASED PARTIES FROM ANY AND ALL LIABILITY FOR ANY DIRECT OR INDIRECT LOSSES, CLAIMS, DAMAGES, ACTIONS, DEMANDS, CAUSES OF ACTION, COSTS OR EXPENSES, INCLUDING REASONABLE ATTORNEYS’ FEES AND EXPENSES, NO MATTER HOW CAUSED, ARISING OUT OF OR OTHERWISE RELATING IN ANY WAY TO ANY BREACH OR ALLEGED BREACH BY SUBMITTER OF HIS/HER AFFIRMATION, UNDERTAKING, OR OBLIGATION OF THIS RELEASE, OR AS A RESULT OF THE BROADCAST, DISPLAY, DISSEMINATION, OR USE OF THE CONTENT FOR ANY PURPOSE, INCLUDING, BUT NOT LIMITED TO, ANY CLAIM OF COPYRIGHT INFRINGEMENT, INVASION OF PRIVACY OR RIGHT TO PUBLICITY, AND SUBMITTER ACKNOWLEDGES THAT NONE OF THE RELEASED PARTIES HAVE MADE ANY REPRESENTATION OR WARRANTY TO HIM/HER REGARDING THE CONTENT.

5. Submitter understands that submission of the Content does not obligate Desert Radio Group to broadcast, display, publish or otherwise transmit, disseminate, promote or use the Content for any purpose and that Desert Radio Group makes no claim that the Content is appropriate for any audience or purpose.  Submitter further understands that the Content will not be returned.

6. Submitter understands that Desert Radio Group has the right to review or monitor any Content and to edit, delete, reject, remove or modify, without notice to Submitter, any Content that Desert Radio Group deems, in its sole discretion, to violate this Release or the Station’s Terms of Use Agreement or to be unacceptable to Desert Radio Group, for any reason or for no reason whatsoever; provided, however, that Desert Radio Group shall have no obligation or liability to Submitter or any third party for failure to do so or for doing so in any particular manner. Desert Radio Group also reserves the right to take down any Content if published on a Station website if the Station or Desert Radio Group personnel receive a notice of any claim of infringement.

7. Submitter agrees that if Content is selected for broadcast, display or dissemination, Desert Radio Group may use Submitter’s full name, title of the Content, and city and state of residence and/or operation for the purpose of identifying, promoting and/or generating publicity for Desert Radio Group and/or its designees, if such personally identifiable information is provided to Desert Radio Group.  Desert Radio Group will not disclose any other personally identifiable information to the public, unless the Submitter consents to such disclosure or reasonably believes that it is necessary to: a) conform to regulatory and legal requirements or comply with the legal process; b) protect the safety and security of its users, employees, or property; c) to defend the rights of the Desert Radio Group Released Parties; or d) enforce this Release, and the Station’s Terms of Use Agreement, any pertinent Additional Terms and/or Privacy Policy, if applicable.

8. Submitter certifies that either he/she is eighteen (18) years of age or older or whatever the legal age of majority (adulthood) is in the Submitter’s state of residence, or alternatively, that he/she meets any age and/or residency eligibility for a specific Station event or promotion in which this Content is submitted for.  In no event will the Station knowingly accept content from persons under thirteen (13) years old and any such submissions will be immediately deleted or destroyed.

9. If the Content is submitted via the Station’s website, Submitter acknowledges that he/she has read, understands and consents to Desert Radio Group’s Privacy Policy www.theeagle1069.com Terms of Use www.theeagle1069.com  Agreement, any pertinent Additional Terms, in addition to this Release, without reservation.

10. Submitter understands that this Release is intended to be as broad and inclusive as permitted by law, and Submitter agrees that if any portion of this Release is deemed invalid, the remainder will continue in full force and effect.  Submitter further understands and agrees that this Release is to be interpreted under the laws of the State or Commonwealth where the Station is located or federal law, as applicable, and Submitter submits to the jurisdiction of the state and federal courts within that State or Commonwealth notwithstanding its conflict of laws provisions, and waives all objections to the jurisdiction or venue of such courts.

Unless otherwise specified by DesertRadio Group: KCLB / KDGL / KKUU / KNWZ / KXPS / KFUT (the “Station”), theserules cover routine contests and promotions conducted by the Station.  These rules may be amended by separatespecific rules for major contests or promotions conducted by the Station or itssponsors.

The contest or promotion (the“Promotion”) will take place during the dates and times specified in theofficial rules of the Promotion (the “Promotion Period”) or as announcedon-air.  The Station may change thedates and/or terms of the Promotion without prior notice.  Any material changes will be broadcaston the Station and, if applicable, posted on its website located at www.937kclb.com / www.theeagle1069.com / www.927kkuu.com / www.knewsradio.com / www.1010kxps.com / www.1270kfut.com .

Promotionsconducted on-air that require telephone responses to “cues to call” are onlyofficial when heard on-air via radio.  Due to delays with the Station’s online streaming of itsbroadcast signal, listeners to the online stream may not be able to participatein or be disadvantaged in participating in certain Promotions.

To be eligible to enter orparticipate in the Promotion, listeners must follow the instructions set forthin the official rules of the Promotion or as announced on-air and must fulfillall of the eligibility requirements of the Promotion.  Unless otherwise specified, the Promotion is open to alllisteners of the Station who are legal U.S. residents, 18 years of age or olderand who live in the Coachella Valley area including Yucca Valley, Banning and Beaumont.  Employees of the Station, its licensee,the licensee’s parent, subsidiary and affiliated entities, Station’sadvertising and promotional agencies, its participating sponsors, other radiostations in the Palm Springs metropolitan area and the members of theirimmediate families and/or households are ineligible to participate or win.  Listeners are eligible to win a prizein a Promotion conducted by Desert Radio Group (KCLB/KDGL/KKUU/KNWZ/KXPS/KFUT) onlyonce every thirty (30) days if the prize is valued over $50, and listeners areeligible to win a prize in a Promotion conducted by Desert Radio Group(KCLB/KDGL/KKUU/KNWZ/KXPS/KFUT) only once every six (6) months if the prize isvalued over $600.  Listeners arenot eligible to win multiple times with other Desert Radio Group stations iftheir initial prize won is valued over $50. Only one winner per household ispermitted in any Station-conducted Promotion.  For on-air Promotions, there is no limit to the number oftimes a listener may attempt to call-in or text; however a listener may onlyqualify once.

Entrants are required to providetruthful information and the Station will reject and delete any entry that itdiscovers to be false or fraudulent. The Station will disqualify any entry from individuals who do not meetthe eligibility requirements, and the Station will also delete any online entryknowingly received from persons under the age of 13 in compliance with theChildren’s Online Privacy Protection Act.

Promotion prizes and their valueswill be indicated when the Station announces the Promotion.  Unless otherwise announced, all prizesor prize certificates must be picked up at the offices of the Station 1321North Gene Autry Trail, Palm Springs, CA, 92262.  Prizes may be claimed during regular business hours (between8:00am and 5:00pm, Monday through Friday).  Promotion winner(s) will be required to present validgovernment-issued photo identification and provide their complete address, dateof birth and phone number to claim a prize.  Unless otherwise permitted by the Station, winner(s) mustclaim his or her prize in person, and a prize cannot be claimed by thirdparties on behalf of the winner. If a Promotion is open to entrants under the age of 18 and a winner isunder the age of 18, a parent or legal guardian must claim the prize.  Failure to comply with theserequirements will result in the forfeiture of the prize.  A winner will forfeit any prize orprize certificate not claimed within thirty (30) days (or sooner for timesensitive prizes) of winning. Unless otherwise specified or required by law, if a prize is not claimedno alternate winner will be selected and the prize will become the property ofthe Station.  The Station, solelyat its discretion and only with the consent of the winner, may opt to deliverthe prize to the winner by mail or overnight courier.  In such event, the winner assumes the risk of the prize’sloss and the Station will not be responsible for the safe arrival of the prizeor prize certificate.  There is nosubstitution, transfer or cash equivalent for prizes, except that the Stationmay, at its sole discretion, substitute prizes of comparable value orcash.  Each prize is expresslylimited to the item(s) announced by the Station and does not include taxes,gratuities or any other expenses. Other restrictions may apply.

Decisions of the Station’s management with respect to the Promotion arefinal.

Potential winner(s) will be selected and notified of their prize in themanner announced by the Station. Promotion winner(s) must execute and return any required Affidavit ofEligibility and/or Release of Liability Prize Acceptance Form within five (5)days of winning or being notified of winning (or sooner for time sensitiveprizes) or prize will be forfeited and an alternate winner may be selected. Ifa potential winner cannot be contacted, fails to sign and return the requiredaffidavit of eligibility and/or liability/publicity release within the requiredtime period, or if a prize or prize notification is returned as undeliverable,the potential winner forfeits the prize.

Payments of all federal, state and local taxes related to the award of aprize are solely the responsibility of the winner of the prize.  The winner will be required to completeand submit an IRS Form W-9 with the winner’s full Social Security Number or theequivalent for receipt of any prize valued at $600 or more or for any prizesawarded by the Station (or any other Desert Radio Group station in Station’smarket) in a calendar year with an aggregate value of $600 or more and suchwinnings will be reported to the IRS. Failure to submit a complete W-9 or equivalent will result in forfeitureof the prize.

By participating in the Promotion, the winner(s) agree to have his or hername, voice and likeness used in any advertising or broadcasting materialrelated to such Promotion, without further compensation, and (where permittedby law) to sign a publicity release confirming such consent prior to acceptanceof the prize.

Prior to awarding any prize or prize certificate, the Station in itssole discretion may require the winner of such prize (and his or her travelcompanion(s), if any) to sign a liability release, which holds harmless theStation, its licensee, its parent, subsidiary, and affiliated entities, theirrespective officers, shareholders, directors, employees, agents andrepresentatives and all of their successors and assigns against any and allclaims or liability arising directly or indirectly from the prize or participationin the Promotion.  The Station isnot responsible for (i) lost, stolen, mangled, misdirected, postage due,illegible, incomplete or late entries; (ii) telephone or mobile serviceoutages, delays, busy signals, facsimile transmission errors, equipmentmalfunctions and any other technological difficulties that may prevent anindividual from completing his/her telephone call or from sending a textmessage (if applicable, standard text messaging fees may apply, and the Stationis not responsible for any fees incurred by an entrant for this method ofentry); or (iii) entries not received due to difficulty accessing the internet,service outage or delays, computer difficulties or other technicaldifficulties.

Station reserves the right to cancel, terminate or modify the Promotionif it is not capable of completion as planned, including, without limitation,as a result of infection by computer virus, bugs, tampering, unauthorizedintervention or technical failures of any sort.  The Station reserves the right to make changes in the rulesof the Promotion, including, without limitation, the substitution of a prize orequivalent value, which will become effective upon announcement.  If due to circumstances beyond thecontrol of the Station, any event related to the Promotion or prize is delayed,rescheduled, postponed, cancelled or has a change of venue, the Stationreserves the right, but is not obligated, to cancel or modify the Promotion andshall not be required to award a substitute prize.  The Station is not responsible for typographical or othererrors in the printing, the offering or the administration of the Promotion, orin the announcement of a prize.
